§ 1. General Provisions
- These Terms of Service ('Regulations') govern the use of the website operated by Core Metrics Consulting B.V. ('Service Provider') and the general terms for the provision of consulting services. Use of the website implies acceptance of these Regulations.
- The Service Provider offers specialized consulting services in the field of Big Data and AI for business logistics and manufacturing. The specific scope of services is defined in individual agreements with the Client.
- These Regulations are intended for business users (entrepreneurs). The provisions of consumer law do not apply unless explicitly stated otherwise in a separate agreement.
- All content on the website, including text, graphics, and logos, is the property of the Service Provider and is protected by copyright law. Unauthorized use is prohibited.
§ 2. Definitions
- Platform – The website available at coremetrics.nl and all its subpages.
- User – Any business entity or individual acting on its behalf who uses the Platform or inquires about the Services.
- Client Agreement – A formal, written contract detailing the scope, timeline, and cost of the Services provided to a Client.
- Services – All consulting, development, and implementation services related to Big Data and AI offered by the Service Provider.
- Regulations – These Terms of Service.
§ 3. Type and Scope of Services Provided
- The Service Provider offers bespoke consulting services, including but not limited to: data infrastructure audits, custom AI model development, system integration, predictive analytics, and ongoing technical support. The detailed scope is always defined in a separate Client Agreement.
- Information presented on the Platform does not constitute a binding offer within the meaning of the Civil Code but is an invitation to negotiate. A binding agreement is concluded only upon signing a Client Agreement.
- The Service Provider reserves the right to refuse to provide services to any entity without giving a reason, particularly in cases of potential conflicts of interest.
- All intellectual property developed during the provision of Services, unless otherwise specified in the Client Agreement, becomes the property of the Client upon full payment for the Services.
§ 4. Technical Requirements
- To use the Platform, the User must have a device with internet access and an up-to-date web browser (e.g., Chrome, Firefox, Safari). The Service Provider is not responsible for technical issues arising from the User's equipment.
- The User is prohibited from providing unlawful content or interfering with the operation of the Platform.
- Communication between the User and the Platform is secured using the SSL protocol.
§ 5. Rights and Obligations of the User
- The User is obligated to use the Platform in accordance with its intended purpose and applicable law. The User must provide true and accurate information in all contact forms and inquiries.
- The User (Client) is obligated to cooperate with the Service Provider during the execution of the Services, including providing necessary data, access to systems, and timely feedback as defined in the Client Agreement.
- The User is responsible for maintaining the confidentiality of any information shared by the Service Provider that is marked as confidential. This obligation persists even after the termination of cooperation.
- The User agrees not to engage in any activity that could disrupt the functioning of the Platform, including the use of malicious software or attempts at unauthorized access.
- The User acknowledges that the success of the Services depends on the quality and availability of the data they provide. The Service Provider is not liable for outcomes based on incomplete or inaccurate data.
§ 6. Final Provisions
- The Service Provider reserves the right to amend these Regulations. Any changes will be published on the Platform and will become effective 14 days after publication. Continued use of the website implies acceptance of the changes.
- Any disputes arising from these Regulations or the provision of Services shall be resolved by the competent court for the registered office of the Service Provider in Amsterdam.
- These Regulations are governed by the laws of the Netherlands.
